        After friendly negotiation, Two Parties have come to following agreement:
        经过甲乙双方友好协商，双方达成如下协议：
        Article1.Contents of Shuttle car
        第一条：班车租赁内容
        Party B shall offer following services to Party A :
        乙方向甲方提供如下服务：

          The car type, routes are changeable, or the contract can be terminated until Party A’s further notice

        Article2: Party A’s special requirements promised by Party B:
        第二条：乙方承诺达到甲方特殊要求
        1. Party B shall not involve in Party A’s commercial secrete and private affairs,that is, Party B shall keep confidential to Party A.Driver must sign Non-Disclosure Agreenent..
        不涉及甲方的商业秘密以及私人隐私。暨：为甲方保密。司机必须签订保密协议。
        2. Driver of Party B shall not smoke and call while driving.
        司机在开车时不吸烟，不接打电话（紧急及简短电话可以迅速接听）。
        3. Party B shall treat both Chinese and foreign staff friendly.
        对于中外方人员一律友好接待。
        Article3:Service standard promised by Party B:
        第三条：乙方承诺达到的服务水准：
        1. Party B shall keep safe and in time.
        安全、准时。
        2. Driver of Party B shall be polite and heatedly.
        司机礼貌热情
        3. Car of Party B shall keep clean and tidy.
        车容干净整洁
        4. Party B shall try to satisfy Party A’s various requirements on car lease.
Party B can carry tools and devices in the car.
        尽量满足甲方的各种用车需求。乙方可以在车内携带工具及元器件。
        Article4:
        第四条：费用的支付：
        1.  Monthly expernse:11000RMB
This expense shall include: all relevant expenses of shuttle car;expense of car lease,gasoline fee,salary of driver, including all social insurances; car insurance, maintenance fee of shuttle car.    
        每月费用：11000元
        费用包括：所有的汽车相关费用：汽车租赁费用：汽油费：司机工资包括其各种社会保险：汽车保险：汽车的保养维修费用。
        2.  Party B shall send written notice on payment on 21st of each month.
PartyA shall pay the expense of shuttle car last month before 15 of next month according to the formal invoice issued by Party B
        乙方每月21日向甲方发出书面收费通知，甲方根据乙方提供的正式发票于下月15日前支付上月的租赁费用。
        3.  According to vouchers.Party A shall pay all occurred parking fee and toll fee of express way during valid period of contract.
        甲方将根据票据及申请单支付合同期间由于甲方需要导致的停车费、高速 公路过桥路费。
        4.  Driver shall rest two days each week. Party A shall inform Party B’s driver the concrete restdates according to the real situation of Party A.
        司机每周休息两天。具体休息日期由甲方根据情况后告知司机。
        5. Since Party A charters Party B’s car and Party B provides driver,Party B shall be complete responsible for all lost caused to the Third Party and Party A due to the reason of shuttle car and employed driver of Party B during the course of using shuttle car. Also.Party B shall guarantee to cover enough amount of insurance for the car chartered by Party A on this aspect and offer copies.
        由于甲方租赁此乙方车辆并由乙方配备司机，所租赁的车辆在使用过程中对第三者及甲方所造成的损失由乙方负全部责任，并保证已为该车上全足够的此方面的保险。并须提供复印件。
        Article 5. Favorable measures offered by Party B to Party A:
        第五条：乙方向甲方提供的优惠措施：
        If Party A rents other cars,Party A shall enjoy much discount and has the priority to rent the car at the same price when the duration of the contract is expired.
        再次租用乙方其他车辆，可以大幅度优惠。合同期满后，甲方有优先权以同等价格续租乙方车辆。
        Article6:Service quality guaranty and transaction of complaint
        第六条：服务质量保证及投诉处理
        1. Party A shall evaluate driver of Party B at any time: if Party A is not satisfied with the driver of Party B.Party B shall change the driver within one week.
        甲方可以随时对乙方提供的司机进行评估：如有不满意，乙方在一周内予以替换。
        2. If the driver violates the regulations of this contract or has any behavior, which cannot be accepted by Party A,Party B shall change the driver in current day.
        如司机有任何违反本合同之规定或有让甲方不能接受之行为，乙方会在当天予以替换。
        3. Party B shall guarantee the good condition and full licenses of shuttle car and the driver and smooth function of various devices. Mainly refers to: air conditioner,electric windows of car, doors, seats and sound,etc
         乙方保证车辆状况的良好，车、司机证照齐全，车内各项设施功能正常。设施主要指：空调、电动车窗、车门、座椅、音响等。
        4. When shuttle car occur accident or malfunction while operating, Party B shall appoint other car/taxi immediately to take the passenger to company or back home.
        所租车辆在行驶当中出现事故或故障时，乙方应立即安排其他车辆接送乘客上下班。
        5. During valid period of contract, if Party B fails to offer service to Party A due to the reason of Party B or Party B’s cars or driver, Party B shall reimburse all the taxi fees between home and company for all the passengers.
        合同期间，由于乙方或乙方车辆或乙方司机的原因不能为甲方提供服务时，则乙方应报销所有乘客上下班打车的全部费用。
        6. Driver of Party B does not belong to employee of Party A, during period of working,Party B shall undertake all responsibility for all bad effect or damage to the Third Party,which caused by Party B driver’s improper language or behavior.
         乙方司机不属于甲方工作人员，在工作期间，由于乙方司机的言行对第三方造成的不良影响或损失，由乙方承担全部责任。
        Article7 Valid period of contract
        第七条 合同有效期
        The valid period of contract shall be temporary valid starting from Nov.01.2005 until Oct.31.2007.If driver of  Party B fails to offer satisfied service to Party A or violates the regulations of Article 7of this agreement ,Party A shall have right to terminate this contract at any time .If Party A wants to terminate this contract due to other reasons , party A shall inform Party B 1 month in advance .If Party B wants to terminate this contract ,Party B shall inform and consult with Party A 1 month in advance.
        本合同有效期，从2005年11月01日起，至2007年10月31日为止。如因乙方司机不能为甲方提供满意的服务或违反本协议第七条规定，甲方有权随时终止本合同。如因其他原因，甲方需终止本合同，需提前一个月通知乙方。如乙方终止本合同，需提前1个月通知甲方并与甲方协商。

        Article8 Amendment and breach of comtract
        第八条：合同变更及违约
        1. If there is any change on this contract, this signed contract shall be standard. Any Party shall not amend the terms of contract on its own will.
        如有任何变动，以签订的此合同为准 。任何一方不得单方更改合同内容。
        2. Any Party,which violates this agreement,shall compensate the other party all resulted lost. Any Party, which terminates this agreement without authorization,shall compensate the other party two-month expense for chartering car
        任何一方违约，应赔偿因此给对方造成的全部损失。擅自终止合同都应赔偿对方二个月的租赁费用。
        Article9 Others
       第九条：其他

        此辆／车合同期间由乙方公司司机／为甲方驾驶，未经甲方事先同意，乙方不能无故理换司机。但该项规定并不影响甲方按本协议第六条规定的权利行使。

        This contract shall have two copies, which are written both in Chinese and English. The contract shall come into valid after two Parties sign and stamp on it . Each Party shall keep each of them If there is any discrepancy between Chinese and English version,Chinese version shall be standard.
        本合同一式两份，同时用中英文书写。自双方签章生效，双方各持一份。中英文对照如有出入以中文正本为准。
        The signing,effectiveness, performance and settlement of disputes of this contract shall be under the domination of people’s Republic of China’s laws.
        本合同的订立、效力、履行和争议的解决，均受中华人民共和国法律管辖。

        If there is any disputes occurred during the course of performing this contract, Party A and Party B shall settle this disputes by friendly negotiation or intermediation.If two Parties fail to come to agreement by negotiation and intermediation, any Party shall have right to submit to Beijing Arbitration Committee for arbitration, the result of arbitration shall have bounding force to two Parties.
        甲、乙双方就本合同发生争议时，应尽量通过友好协商或通过调解解决，若经协商、调解不能达成一致时，任何一方均有权向北京仲裁委员会提请仲裁，仲裁结果对双方均有约束力。
